Conflict Minerals Policy

In 2010, the U.S. Congress passed the Dodd-Frank Wall Street Reform and Consumer Protection Act (the “Act”). In accordance with this Act, the U.S. Securities & Exchange Commission adopted regulations regarding the use of conflict minerals originating in the Democratic Republic of Congo (the “DRC”) or adjoining countries. Conflict minerals are defined as: columbite-tantalite (the metal ore from which tantalum is extracted); cassiterite (the metal ore from which tin is extracted); gold; wolframite (the metal ore from which tungsten is extracted); or their derivatives. Through passage of the Act, Congress intended to further the humanitarian goal of ending violent conflict in the DRC, which has been financed in part by the exploitation and trade of conflict minerals originating in the DRC.

 

Resolve Surgical Technologies fully supports the Act and is committed to sourcing conflict-free minerals for use in the manufacturing of our metal implants and other products.

 

In addition to our own compliance with the Act and regulations, we also expect our suppliers to operate in compliance, sourcing materials solely from conflict-free areas around the globe. As recommended by the Organization for Economic Cooperation and Development (OECD) guidelines, Resolve Surgical Technologies is taking the necessary steps to ensure that our suppliers are familiar with the Act and regulations and are working toward absolute compliance. We will continue to proactively work with our suppliers to ensure proper reporting in accordance with the regulations, and we reserve the right to request information from our suppliers at any time as it relates to this policy.
